Program Description:

Let’s cut to the chase - compensation is a key factor to employees and represents an employer’s philosophy of rewarding employees. It’s important to not only pay employees commensurate with their contributions, but also to establish justifiable pay practices that align with a company’s goals. Executive compensation programs aim to attract, retain, and motivate top-level executives while also complying with federal regulations and aligning with the organization’s overall strategy.  Pay transparency programs focus on promoting equity and sharing salary structure and compensation practices to reduce systematic bias and close pay gaps. While pay transparency requirements differ from state to state (and country to country), a common thread is that transparent pay practices also set the tone for an organizations culture.

  • Discuss executive compensation, including recent trends, regulatory best practices and other considerations for employers.
  • Examine the different types of executive compensation plans, the key components, and which approaches are most appropriate for different types of organizations.
  • Review current state and local pay transparency laws, explore the nuances and interplay between these laws, and identify practical considerations when developing your company’s pay practices.
  • Discuss the intersection between complying with pay transparency laws and advancing pay equity within a company.

Patrick Rehfield focuses on matters related to executive compensation, payroll tax, and employee fringe benefits. He advises private and public companies on designing and implementing nonqualified retirement plans, equity compensation plans, and executive compensation arrangements. He also counsels publicly traded companies on reporting and compliance matters involving the SEC, with a focus on proxy and disclosure issues, executive compensation, and corporate governance. He advises public and private companies on employee benefit issues in mergers and acquisitions, including executive compensation matters for senior management.

Patrick also advises companies of all sizes on the design and implementation of employment agreements, retention agreements, and change in control agreements. He represents senior management teams in leveraged buyouts, and senior-level executives in compensation package negotiations. He has particular experience in the application of sections 162(m), 280G, and 409A of the Internal Revenue Code.

Patrick also maintains an active payroll tax and fringe benefit practice that focuses on corporate and payroll tax audits, penalty abatements, refund claims, IRS ruling requests, and multistate tax and withholding issues.

Maggie McDowell advises clients in a broad range of employment disputes, including wage and hour, discrimination, retaliation, and harassment litigation. Maggie represents employers in highly sensitive and complex employment litigation including class and collective actions and single-plaintiff cases. She also has experience investigating workplace misconduct, including sensitive sexual misconduct and whistleblower matters, and regularly advises employers on appropriate responses and remediation measures.

In addition to her litigation and investigation practice, Maggie counsels clients spanning diverse sectors on a variety of employment issues, including personnel decisions, workplace policies, and compliance with federal and local laws. Maggie’s counseling practice also focuses on pay equity matters, such as advising clients on pay equity and salary disclosure laws and conducting pay equity analyses, including comprehensive internal statistical and policy audits.

Maggie has a strong commitment to pro bono work. She provides pro bono counseling and training on various employment law matters for nonprofit organizations and serves on the board of directors of Philly VIP.

Professional Development:
This program will be submitted to HRCI for 1.5 HR (General) recertification credits for aPHRTM, PHR, PHRca, SPHR, GPHR, PHRiTM and SPHRiTM designations.  It will also be submitted to SHRM for 1.50 Professional Development Credits (PDCs) for the SHRM-CP and the SHRM-SCP certifications.
