Trade secret misappropriation can cause millions of dollars in damages. Human Resources professionals can play a critical role in the development and enforcement of effective trade secret protection programs aimed at preventing the misappropriation of trade secrets and increasing the likelihood of success in litigation in the event that misappropriation occurs. An effective protection program starts with the hiring process, involves appropriate employment agreements (such as non-compete, non-solicitation, and non-disclosure agreements), implements appropriate measures to protect the confidentiality of trade secrets, and involves several procedures at the employment separation phase.
Additionally, in this era of social media, companies also need to understand how social media platforms and the information shared affects a company’s ability to protect its trade secrets. Some questions which will be answered: Can a company’s customer list be considered a trade secret in the era of social media? How should companies go about protecting their customer lists? Can a company even claim an interest in an employee’s social media account or the content of that account? And how does social media affect the use and enforcement of non-solicitation agreements?
These and many other issues involving the protection of trade secrets and other confidential business information will be discussed in this presentation.
After attending this session, participants should be able to:
- understand how to identify a trade secret,
- implement an effective trade secret protection program,
- identify important issues to consider when entering into employment agreements, such as non-compete agreements, non-solicitation agreements, and non-disclosure agreements,
- understand how trade secrets may be at risk through social media, and
- identify how social media affects enforcement of non-compete/non-solicitation agreements.
